Dhumketu Exploration Technologies Ltd. (DhumketuX) is Bangladesh’s pioneering private aerospace and high-tech company. 5. Investment Structures – How It Works in Practice

5.1 Core Policy

The main DhumketuX parent company is generally not open to local external equity. This protects long-term mission stability and avoids misalignment around short-term exits. Instead, most collaborations are structured as:

  • Project-based investments (funding a specific program, product or pilot), or
  • Joint ventures / sister-company structures (shared equity in a clearly defined vertical or spinout).

Foreign strategic investors can, in principle, discuss direct equity in the core company, but only under strict conditions (see Section 6).

5.2 Project-Based Investment

In a project-based model, you invest in a clearly defined project under DhumketuX or a sister brand (for example, a new drone delivery route, a satellite demonstration, a new toy line, or a robotics pilot).

  • Typical elements of the agreement:
    • Project scope and objectives (what exactly will be built or tested).
    • Budget, timeline and milestone breakdown.
    • Ownership of IP, branding and data (who owns what after completion).
    • Revenue/profit sharing model, if the project goes into commercial rollout.
    • Reporting frequency and decision-making structure.
  • Who this suits: investors who want clarity, limited scope, measurable outcomes and an easier exit option (after a phase is complete).

5.3 Joint Ventures & Sister-Company Structures

For larger or longer-term initiatives, we create a new joint venture (JV) company or use an existing sister company as the investment vehicle. This is common for new product lines, regional expansions, manufacturing plants or media platforms.

    • Equity and profit shares reflect DhumketuX’s upfront intellectual and executional contribution.
  • Idea from Investor / Partner:

    • DhumketuX contributes engineering, ecosystem, talent and project execution.
    • Equity, IP and branding are shared based on the combination of idea, execution and ongoing roles.

6. Direct Investment in Core Company

  • Local investors: core DhumketuX equity is normally not offered. Local partners are encouraged to work with us via project-based investments or JVs / sister companies, where roles, expectations and risk are easier to align.
  • Foreign / international investors:
    • Direct equity is possible in principle but only with strong strategic alignment and a shared long-term horizon.
    • Discussions typically include valuation, governance, staged tranches tied to milestones, and alignment with national laws and regulations.
    • Short-term speculative investments are not a fit for DhumketuX.

7. What Your Investment Enables

  • Infrastructure: new labs, integration bays, test stands, assembly areas and specialized workspaces for rockets, UAVs, satellites, EV/eVTOL prototypes, robotics and electronics.
